Esper Partner Program: Card Game Official Terms and Conditions

1. The Promoter

Esper.io, Inc. ("Esper") of registered office address: 3600 136th Pl SE, Ste 210 Bellevue, WA 98006, USA.

2. Eligibility

Participation is open only to authorized Esper partners and resellers who:

• Have a valid and current partner agreement with Esper
• Are at least 18 years of age or the age of majority in their jurisdiction
• Are acting in their professional business capacity
• Are not employees, officers, or directors of Esper, its parent company, subsidiaries, affiliates, or their immediate families

Void where prohibited by law.

3. Program Period

The Esper Partner Card Game Program ("Program") begins at 12:00 am Pacific Time ("PT") on July 14, 2025 and ends at 11:59 pm PT on August 30, 2025 ("Program Period"). Esper reserves the right to extend or shorten the Program Period with notice to participants. The Program is hosted by IncentivePilot Inc. ("IncentivePilot") and its comprehensive platform for the incentivization of sales representatives and other service providers.

4. How to Participate

4.1 Card Hand Structure

The Program involves participants collecting a card game hand of five (5) cards:

• The first card is automatically provided upon enrollment in the Program
• The remaining four (4) cards are unlocked by completing specific business activities

4.2 Business Activities to Unlock Cards

To unlock the remaining four cards, participants must complete the following business activities:

1. Card 2: Watch an Esper product training video and pass the associated quiz
2. Card 3: Schedule and complete a business development call with an Esper representative
3. Card 4: Refer a qualified reseller partner to Esper's partner program
4. Card 5: Register a qualified business opportunity through Esper's partner portal

4.3 Alternative Method of Entry (AMOE)

NO PURCHASE OR BUSINESS ACTIVITY NECESSARY . To receive all five cards without completing the business activities, send an email to partner@esper .io with the subject line "Esper Partner Card Game Program AMOE" and include your name, company name, and partner ID. Limit one AMOE request per eligible partner.

4.4 Card Game Hand Assignment

Once all five cards are unlocked (either through business activities or AMOE), participants will be issued a card game hand. Cards will be randomly assigned from a standard 52-card deck. The assignment of cards is conducted randomly by IncentivePilot and each player has their own deck of cards (so the game is not restricted by scale).

5. Leaderboard and Winner Determination

5.1 Card Game Hand Ranking

Card Game hands will be ranked according to standard card game hand rankings (from highest to lowest):

1. Royal Flush
2. Straight Flush
3. Four of a Kind
4. Full House
5. Flush
6. Straight
7. Three of a Kind
8. Two Pair
9. One Pair
10. High Card

5.2 Tiebreakers

In the event of identical card game hands, the following tiebreakers will apply:

1. Earlier completion date of all activities
2. Higher total value of registered opportunities
3. Random drawing conducted by Esper staff

6. Prizes

6.1 Prize Structure

The top five (5) participants with the highest-ranking card game hands will each receive a prize of $250 USD.

6.2 Prize Distribution

Prizes will be distributed within 30 days of the end of the Program Period via electronic gift card or other method via Esper's discretion.

6.3 Tax Implications

All federal, state, provincial, and local taxes associated with prize receipt are the sole responsibility of the winners. Winners may be required to complete tax documentation prior to prize distribution.

7. Winner Notification

Winners will be notified via email within 30 days of the Program Period end date. If a winner cannot be contacted or does not claim the prize within 30days of notification, Esper reserves the right to withdraw the prize and select a replacement winner.

8. Publicity

By participating in the Program, participants grant Esper the right to use their company name and logo for promotional purposes related to the Program. Any use of personal information will be in accordance with Esper's Privacy Policy.

9. General Conditions

9.1 Program Modifications

Esper reserves the right to cancel, suspend, or modify the Program or these terms and conditions without prior notice in the event of technical failures, unauthorized intervention, or other causes beyond Esper's control that corrupt or affect the administration, security, or proper conduct of the Program.

9.2 Decisions Final

Esper's decisions regarding all aspects of the Program, including but not limited to eligibility, card assignment, hand ranking, and prize distribution, are final and binding.

9.3 Business Relationship

This Program is designed exclusively for business-to-business relationships between Esper and its authorized partners. Participation in the Program does not create any employment, agency, or fiduciary relationship between participants and Esper beyond what is established in the existing partner agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESPER AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO PARTICIPATION IN THE PROGRAM.

11. Governing Law

These terms and conditions shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from the Program shall be resolved in the courts of New Castle County, Delaware.

12. Privacy

All information collected in connection with the Program will be handled in accordance with Esper's Privacy Policy, available at https://www.esper.io/privacy-policy.
